These Terms and Conditions (“Terms”) govern your access to and use of the phreesoft.com website (the “Site”), and any services provided by PhreeSoft, LLC (“PhreeSoft,” “we,” “us,” or “our”), including but not limited to Bizuno ERP software, hosting services, email hosting, e-commerce tools, and related business solutions (collectively, the “Services”).
By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (whether individually or on behalf of an entity) and PhreeSoft. We may update these Terms at any time by posting the revised version on the Site. Your continued use of the Site or Services after changes constitutes acceptance of the updated Terms.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site or Services. By using them, you represent that you meet this requirement.
3. Account Registration
To access certain Services, you may need to create an account. You agree to provide accurate, complete information and keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.
4. Services and Subscriptions
– The Services are provided on a subscription or paid basis where applicable (e.g., hosted Bizuno ERP, email hosting, website hosting).
– Subscriptions are billed in advance and are non-refundable except as expressly stated.
– We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.
– You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your subscription term.
5. Payment Terms
– Fees for Services are as described on the Site or in your order confirmation.
– Payments are processed via our designated payment providers. You authorize us to charge your payment method for all fees.
– Late payments may incur interest or result in suspension of Services.
– All fees are exclusive of taxes, which you are responsible for paying.
6. User Obligations and Prohibited Conduct
You agree not to:
– Use the Services for any illegal or unauthorized purpose.
– Interfere with or disrupt the Services (e.g., via viruses, hacking).
– Reverse engineer, decompile, or attempt to derive source code from any software.
– Share access credentials or allow unauthorized users.
– Upload harmful content or violate third-party rights.
We may suspend or terminate your access for violations.
7. Intellectual Property
– All content, software (including Bizuno ERP), trademarks, and materials on the Site and in the Services are owned by PhreeSoft or its licensors and protected by copyright, trademark, and other laws.
– You retain ownership of data you upload (“Your Data”), but grant us a worldwide, royalty-free license to use, host, and process it as needed to provide the Services.
– No ownership transfer occurs.
8. Data and Privacy
Your use of the Services is also governed by our Privacy Policy [link to your privacy policy page], which explains how we collect, use, and protect personal information.
9. Limitation of Liability
To the fullest extent permitted by law:
– The Services are provided “as is” without warranties of any kind.
– PhreeSoft is not liable for indirect, incidental, consequential, or punitive damages.
– Our total liability shall not exceed the fees paid by you in the 12 months preceding any claim.
10. Indemnification
You agree to indemnify and hold PhreeSoft harmless from any claims arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
11. Termination
– We may terminate or suspend your access at any time for any reason, including violations.
– Upon termination, your right to use the Services ends immediately. Subscriptions fees are non-refundable.
– You may terminate your account as described in the Services.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, USA (without regard to conflict of laws principles). Any disputes shall be resolved exclusively in the courts located in Texas.
13. Miscellaneous
– These Terms constitute the entire agreement.
– If any provision is unenforceable, the remainder remains in effect.
– No waiver of any term is effective unless in writing.
